1. Definitions

"Services" means our website, online platform, tools, resources, and insurance advisory and distribution services.

Insurance Advisory Services: Policy Ninja acts as an independent insurance broker and advisor. We provide information, recommendations, and access to insurance products from various insurance carriers. However:

• We do not guarantee that any particular insurance product will be available to you
• Final acceptance and underwriting decisions are made by insurance carriers, not by Policy Ninja
• We are not an insurance company and do not underwrite policies ourselves

No Professional Advice: While we provide insurance advisory services, we do not provide:

• Legal advice or services
• Accounting or tax advice
• General financial planning advice beyond insurance products
• Medical or healthcare advice

You should consult with qualified professionals for advice in these areas.

Information Accuracy: We strive to provide accurate and up-to-date information on our website. However, we do not warrant that all information is complete, accurate, current, or error-free. Information on our website is for general informational purposes and should not be relied upon as a substitute for professional advice.

7. Intellectual Property Rights

Premium Payments: Insurance premiums are set by insurance carriers and may vary based on your individual circumstances. When you purchase an insurance product through our Services:

• You authorize us to process payments on behalf of the insurance carrier
• Premiums may be billed monthly, annually, or according to the payment schedule you select
• You must provide valid payment information and keep it current

Payment Processing: We use third-party payment processors to handle transactions. Your payment information is subject to the terms and privacy policies of our payment processors in addition to these Terms.

Recurring Payments: If you select a recurring payment option, you authorize us to automatically charge your payment method for each billing period until you cancel your policy or change your payment method. You must provide notice of cancellation according to the terms of your insurance policy.

Failed Payments: If a payment fails, we may attempt to process the payment again. We will notify you of payment failures, and you are responsible for promptly updating your payment information. Failure to pay premiums may result in cancellation of your insurance coverage according to the terms of your policy.

Refunds: Refunds are subject to the terms of your specific insurance policy and applicable insurance regulations. We do not control refund policies, which are determined by insurance carriers.

9. Policy Modifications and Cancellations

Insurance Policy Terms: Once you purchase an insurance product, the specific terms, conditions, and cancellation provisions of that policy will govern your coverage. These are set by the insurance carrier, not by Policy Ninja.

Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We may also change these Terms from time to time. Material changes will be posted on our website with an updated effective date.

Continued Use: Your continued use of the Services after changes to these Terms constitutes your acceptance of the modified Terms.

Our website may contain links to third-party websites, including insurance carrier websites and other service providers. These links are provided for your convenience only. We do not control, endorse, or assume responsibility for:

• The content, accuracy, or reliability of third-party websites

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of information on our website

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, POLICY NINJA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

Indirect and Consequential Damages:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Loss of use or interruption of business
• Cost of substitute services
• Emotional distress or reputational harm

Arising From:

• Your use or inability to use the Services
• Unauthorized access to or alteration of your information
• Actions or content of third parties on or through the Services
• Any errors or omissions in Our Content
• Security breaches, viruses, or other harmful components
• Decisions made by insurance carriers regarding your applications

Maximum Liability: In no event shall our total aggregate liability to you exceed the amount of fees you have paid to us in the three (3) months preceding the event giving rise to the claim, or CAD $100, whichever is greater.

Essential Purpose: The limitations of liability set forth above are fundamental elements of the agreement between you and Policy Ninja. The Services would not be provided without such limitations.

Exceptions: Some jurisdictions do not allow the limitation or exclusion of certain liabilities. In such cases, our liability will be limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Policy Ninja, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Services
• Your violation of these Terms or any applicable laws
• Your violation of the rights of any third party
• Any false, inaccurate, or misleading information you provide
• Your User Content or any content you submit through the Services
• Your breach of any representations or warranties made herein

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

14. Dispute Resolution and Governing Law

Governing Law: These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Jurisdiction: You irrevocably submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for the resolution of any disputes arising out of or relating to these Terms or the Services.

We will attempt to resolve the dispute in good faith within thirty (30) days of receiving your notice.

Class Action Waiver: To the extent permitted by law, all claims must be brought in the parties' individual capacity and not as a plaintiff or class member in any class or representative action. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.

Limitation Period: Any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after the claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations or other law to the contrary.

15. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our privacy practices as described in the Privacy Policy.

16. Communications

Electronic Communications: By using our Services, you consent to receive electronic communications from us, including emails, text messages, and notices posted on our website. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Policy Ninja.

20. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction. Any attempted assignment in violation of this section shall be void.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Policy Ninja regarding the use of our Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.

22. Survival

The following sections shall survive the termination or expiration of these Terms: Intellectual Property Rights, Payment and Billing (for amounts owed), Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution and Governing Law, and any other provisions that by their nature should survive.

23. Language

It is the express wish of the parties that these Terms and all related documents be drawn up in English.
